Terms of Service

These Terms of Service (hereinafter referred to as "Terms") govern the legal relationship between Cognizant TriZetto ("Cognizant TriZetto", "we", "us", or the "Company") and you ("User" or "you") regarding your access to and use of any game published or operated by Cognizant TriZetto, whether through a web browser, social networking platform (such as Facebook), or application marketplace (such as the Apple App Store or Google Play). These services are collectively referred to as the "Platform".

1. Your Use of the Games

When Can You Use Our Games?

To obtain the right to access and play our games, you represent and warrant that:

• You own or have lawful authority to use the device through which you access and play each game;
• You are not located in any country or region subject to a United States government embargo or designated by the United States government as a state sponsor of terrorism;
• You are not included on any United States government list of prohibited or restricted persons or entities;
• All information you provide to us is true, accurate, complete, and will be kept up to date whenever necessary;
• You have not previously been suspended, banned, or otherwise prohibited from using any of our games or the Platform;
• If you download a game through a third-party platform, you maintain a valid account with that platform (a "Platform Account").

Prohibited Activities

You agree that you will not:

• Copy, sublicense, lease, rent, lend, sell, transfer, trade, or otherwise commercially exploit any game or any virtual items;
• Use the games or virtual items for any unlawful purpose;
• Use the games or virtual items to distribute obscene, violent, threatening, defamatory, discriminatory, offensive, or otherwise inappropriate content as determined by Cognizant TriZetto;
• Upload, publish, or distribute any information or material that infringes or may infringe the intellectual property rights or other legal rights of Cognizant TriZetto or any third party.

2. Acceptance of These Terms

If you create or use a Platform Account, download a game from a supported platform, or access a game through a browser, website, or any other supported platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you do not agree to these Terms, you must not download, access, play, or otherwise use the games.

You acknowledge and agree that:

• These Terms become effective on the date you first download or access one of our games;
• These Terms apply to your use of all of our games and all virtual items;
• These Terms constitute a legally binding agreement between you and Cognizant TriZetto, and not between you and any third-party platform provider.

Cognizant TriZetto is solely responsible for the games and their content. Third-party platform providers assume no responsibility or liability for the games.

We reserve the right to modify these Terms at any time without prior notice. If you do not agree to any revised Terms, you must discontinue your use of the games. Your continued use of the games after any modification constitutes your acceptance of the updated Terms.

3. Privacy Policy

The collection, use, storage, and protection of your personal information are governed by our Privacy Policy.

Our Privacy Policy forms an integral part of these Terms.

4. Special Terms

Your use of the games and your purchase of virtual items may also be subject to the terms and conditions of the relevant platform provider ("Platform Terms").

If any conflict exists between these Terms and the applicable Platform Terms regarding platform-related matters, the Platform Terms shall prevail to the extent permitted by law.

Depending on the manner in which you access the games, additional terms may also apply. For example, if you access the games using Facebook Connect, Facebook's applicable terms may also govern your use.

From time to time, we, our business partners, or third parties may conduct contests, promotional campaigns, or other activities that are subject to additional rules ("Special Terms").

Where any conflict exists between these Terms and any applicable Special Terms, the Special Terms shall prevail with respect to the relevant activity.

5. Grant of License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and play our games solely for your personal, non-commercial entertainment purposes.

You may not attempt to hack, circumvent security measures, or otherwise obtain unauthorized access to any game, software, server, or related service.

Cognizant TriZetto owns, or has obtained valid licenses to use, all rights, title, and interest in the games, including all associated intellectual property rights.

This includes, without limitation, copyrights in software code, artwork, graphics, music, audiovisual content, trademarks, logos, game titles, and all related materials, excluding User Content.

Your use of the games under this license does not grant you any ownership or intellectual property rights in the games or related content.

6. User Content

Any data, text, graphics, photographs, messages, or other materials uploaded, submitted, or otherwise made available through the games by you or other users ("User Content") remain the sole responsibility of the individual who created or submitted such content.

Cognizant TriZetto does not guarantee the accuracy, legality, completeness, reliability, or quality of any User Content made available through the games.

You acknowledge and agree that we are not responsible for any User Content, including any errors, omissions, infringement, or any loss or damage arising from your reliance upon or use of such User Content.

You represent and warrant that any User Content you submit is original or that you possess all necessary rights, licenses, permissions, and authorizations required to submit such content.

You further represent that you own all intellectual property rights or have obtained all required permissions necessary to grant the rights contemplated under these Terms.

You acknowledge that our exercise of any rights granted with respect to your User Content will not subject Cognizant TriZetto to any obligation, liability, or claim by any third party.

You hereby grant Cognizant TriZetto a worldwide, irrevocable, perpetual, non-exclusive, transferable, fully paid-up, royalty-free license (including the right to sublicense) to use, reproduce, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, and otherwise exploit any User Content you upload, submit, or otherwise make available through the games, together with any derivative works created from such User Content.

To the maximum extent permitted by applicable law, you irrevocably waive any moral rights or similar rights you may have in such User Content.

User Content shall not be treated as confidential and will not be returned to you.

Notwithstanding the foregoing license, with respect only to avatars that you upload, you grant Cognizant TriZetto a non-exclusive, transferable, royalty-free, worldwide license to use your avatar in accordance with applicable data protection laws and our Privacy Policy.

If your avatar contains a photograph of an identifiable individual, we will process and use that avatar in accordance with applicable privacy laws.

This avatar license automatically terminates when you permanently delete your avatar.

Cognizant TriZetto will not use your avatar for marketing or promotional purposes without obtaining any consent required by applicable law from the individual depicted in the photograph.

Cognizant TriZetto reserves the right, in its sole discretion, to remove, restrict, or permanently delete any User Content that violates these Terms or is otherwise deemed inappropriate.

7. Errors

Cognizant TriZetto will make commercially reasonable efforts to ensure the accuracy of pricing information and transactions relating to the games and any Virtual Items.

However, despite these efforts, pricing errors, technical malfunctions, or other mistakes may occasionally occur.

If an obvious pricing error or system error results in the incorrect distribution or acquisition of Virtual Currency or other Virtual Items, regardless of how the error occurred, Cognizant TriZetto reserves the right to correct the error.

This may include canceling the affected transaction, removing improperly obtained Virtual Items, or taking any other reasonable corrective action.

You acknowledge and agree that any Virtual Items obtained as a result of such errors may be forfeited without compensation.

8. Disclaimer

The games and all Virtual Items are provided on an "as is" and "as available" basis.

Cognizant TriZetto makes no representation or warranty that access to any game will be uninterrupted, secure, reliable, timely, or error-free.

We do not warrant the accuracy, completeness, availability, or reliability of any game or any content contained therein.

Although we make reasonable efforts to keep the games available at all times, we are not liable for any temporary or permanent interruption of service.

Your access to the games may be suspended without prior notice due to system failures, scheduled maintenance, emergency repairs, security incidents, force majeure events, or other circumstances beyond our reasonable control.

We also reserve the right to modify, update, maintain, suspend, or permanently discontinue any game or any portion of the services at any time.

If a game is downloaded through a third-party platform, both you and Cognizant TriZetto acknowledge that the applicable platform provider has no obligation to provide maintenance, technical support, or customer service relating to the game.

You further acknowledge that Cognizant TriZetto, and not the platform provider, is solely responsible for addressing product liability claims, claims relating to legal or regulatory compliance, and claims arising under applicable consumer protection laws.

General Terms

9. Assignment of Rights and Obligations

Cognizant TriZetto may assign, transfer, delegate, sublicense, or subcontract any of its rights and obligations under these Terms, in whole or in part, to any affiliated company, successor, or third party without prior notice, to the extent permitted by applicable law.
